These terms govern your use of POWERFLOW products, services, and digital platforms. Please read carefully before engaging with our services.
Definitions
For the purposes of these Terms of Service, the following definitions apply:
- "POWERFLOW" / "Company" / "We"
- Refers to POWERFLOW Control Technology (Zhejiang) Co., Ltd., its subsidiaries, affiliates, and authorized representatives.
- "Customer" / "You" / "Buyer"
- Refers to any company, organization, or individual that purchases, inquires about, or uses POWERFLOW products and services, including procurement managers, engineers, distributors, EPC contractors, and OEM partners.
- "Products"
- Refers to intelligent valve positioners, accessories, pneumatic components, mounting hardware, and related control equipment manufactured or supplied by POWERFLOW.
- "Services"
- Refers to technical support, commissioning assistance, calibration, OEM/ODM manufacturing, product customization, and any other services provided by POWERFLOW.
Acceptance of Terms
By submitting a purchase order, inquiry, or request for quotation, or by using any POWERFLOW digital platform, product documentation, or technical service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
If you are acting on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these terms. If you do not have such authority, or if you do not agree with these terms, you must not proceed with any transaction or use of our services.
Note: These general terms apply to standard commercial transactions. Project-specific contracts, OEM/ODM agreements, and long-term supply arrangements may be governed by separate written agreements, which will take precedence where applicable.
Products & Services
POWERFLOW provides intelligent valve positioners and related industrial control products. All products are subject to the following conditions:
- Product specifications, certifications, and configurations are as described in the applicable product datasheet or technical specification document at the time of order confirmation.
- POWERFLOW reserves the right to make design or specification improvements without prior notice, provided that such changes do not adversely affect form, fit, or function of the ordered product.
- Customers are responsible for confirming that selected products are suitable for their specific application, process conditions, actuator compatibility, and regulatory requirements prior to ordering.
- OEM and ODM services are provided under separate written agreements and are subject to minimum order quantities, tooling costs, and agreed technical specifications.
- Technical support and commissioning assistance are provided as a professional courtesy and do not constitute engineering consultancy or liability for plant-level decisions.
Orders & Payment
All orders are subject to written confirmation from POWERFLOW. A purchase order does not constitute a binding contract until POWERFLOW issues a formal order acknowledgment or proforma invoice.
Payment terms are as stated on the proforma invoice. Standard terms are T/T in advance for new customers. Established accounts may be eligible for net payment terms subject to credit approval.
Milestone-based payment schedules apply to large project orders and custom OEM production runs. Terms are agreed in the relevant commercial contract prior to production commencement.
All prices are quoted in USD unless otherwise specified. POWERFLOW reserves the right to adjust pricing due to material cost fluctuations, currency changes, or significant changes in order scope. Cancellations after production commencement may be subject to cancellation charges.
Warranty & Liability
Standard Product Warranty
POWERFLOW warrants its products against defects in materials and workmanship under normal use and service conditions for a period of 18 months from the date of shipment, or as otherwise specified in the product documentation or commercial agreement.
Warranty claims require written notification within the warranty period, accompanied by product serial number, purchase documentation, and a description of the defect. POWERFLOW will, at its sole discretion, repair or replace the defective product or issue a credit.
Warranty Exclusions
The warranty does not apply to failures or damage arising from:
- Improper installation, commissioning, or operation outside specified parameters
- Unauthorized modification, disassembly, or repair by parties not approved by POWERFLOW
- Use of non-approved accessories, pneumatic supply contamination, or incompatible actuator configurations
- Physical damage, corrosion, or exposure to conditions beyond rated environmental specifications
- Normal wear and consumable component replacement
Limitation of Liability
To the maximum extent permitted by applicable law, POWERFLOW's total liability for any claim arising from or related to a product or service shall not exceed the purchase price paid for the specific product or service giving rise to the claim. POWERFLOW shall not be liable for indirect, consequential, incidental, or punitive damages, including but not limited to production losses, process downtime, lost profits, or third-party claims.
Technical Information & Accuracy
Technical data, performance specifications, and application examples published in POWERFLOW datasheets, catalogs, and digital platforms are provided for general reference purposes. Actual performance may vary depending on actuator condition, process variables, installation quality, and site-specific factors.
POWERFLOW makes reasonable efforts to ensure the accuracy of published technical information. However, we do not warrant that all information is free from error or omission. Customers are advised to:
- Request the latest product datasheet at the time of procurement to ensure specification currency
- Verify certification validity and scope for hazardous area and functional safety applications with the relevant certification body
- Consult POWERFLOW technical support for application-specific selection guidance before finalizing product specifications
Intellectual Property
All intellectual property rights in POWERFLOW products, including but not limited to patents, utility models, designs, firmware, software, algorithms, trademarks, trade names, and technical documentation, are and remain the exclusive property of POWERFLOW Control Technology (Zhejiang) Co., Ltd.
The purchase of POWERFLOW products grants the buyer a limited, non-exclusive right to use the product in its intended application. No license is granted to reproduce, reverse engineer, decompile, modify, or create derivative works based on POWERFLOW products or documentation.
OEM and private label arrangements are governed by separate IP licensing and non-disclosure agreements. Use of the POWERFLOW brand, logo, or trademarks requires prior written authorization.
Confidentiality
Both parties may exchange confidential or proprietary information during the course of business, including but not limited to pricing, technical specifications, OEM configurations, project requirements, and business plans.
Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent, except as required by applicable law or regulation. Confidentiality obligations survive the termination of any commercial relationship.
For projects requiring formal non-disclosure agreements (NDAs), POWERFLOW is willing to execute appropriate documentation upon request.
Export Compliance
POWERFLOW products are manufactured in the People's Republic of China and are subject to applicable export control laws and regulations, including those of China and the destination country.
Customers are responsible for ensuring that the import, re-export, and end-use of POWERFLOW products comply with all applicable laws and regulations in their jurisdiction. Customers must not export or re-export POWERFLOW products to any country, entity, or individual subject to applicable trade restrictions or sanctions without obtaining all required authorizations.
Important: For regulated industries including nuclear power, defense, and certain chemical applications, customers must confirm applicable end-use restrictions and obtain necessary export licenses prior to ordering.
Governing Law & Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. For international transactions, the United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply unless expressly excluded in a written commercial agreement.
In the event of a dispute arising from or relating to these terms or any commercial transaction with POWERFLOW, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within thirty (30) days, disputes shall be submitted to arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC), unless otherwise agreed in writing.
Nothing in this section prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction to protect its rights pending arbitration.
